These Terms and Conditions (“Terms”) govern your access to and use of our websites, platforms, software, AI systems, applications, and services (collectively, the “Services”).

By accessing or using our Services, you agree to be legally bound by these Terms.

1. Nature of Our Services

K&G Growth Solutions designs and operates structured human, digital, and custodial infrastructures.

Our Services may include, but are not limited to:

  • AI-powered intake and alignment systems (e.g. MindLayer.AI)

  • Digital trust, custody, and tokenization architectures (e.g. CustodyVault.AI)

  • Logistics tokenization and coordination infrastructure (e.g. CargoChain.AI)

  • Strategic frameworks for sovereignty, compliance, and long-term alignment

All Services are structural, advisory, and infrastructural by design.

2. Eligibility & Lawful Use

2.1 You must be at least 18 years old to use our Services, or have valid legal guardian consent.

2.2 You agree to use the Services only for lawful purposes and in compliance with all applicable local, national, and international laws.

2.3 You are prohibited from:

  • Attempting to breach security or access restricted systems

  • Reverse engineering, copying, or extracting source logic

  • Misusing AI systems for manipulation, surveillance, or unlawful profiling

  • Using our infrastructure for deception, coercion, or abuse

Violation may result in immediate suspension or termination.

3. Accounts & Access

3.1 Certain Services require account creation or verified access.
You agree to provide accurate and current information.

3.2 You are responsible for safeguarding login credentials and all activity under your account.

3.3 We reserve the right to suspend, restrict, or terminate access if:

  • These Terms are violated

  • Security or compliance risks are identified

  • Legal obligations require intervention

3.4 While we take reasonable measures to ensure access delivery, K&G Growth Solutions cannot guarantee availability where access issues arise due to expired links, delayed usage, incorrect email addresses, or failures of third-party email providers.

4. AI Systems & S6 Sovereignty Framework

4.1 All AI-driven systems operated by K&G Growth Solutions function under our S6 Sovereignty Framework, which ensures:

  • Human autonomy remains central

  • AI outputs are supportive, not directive

  • No automated decision-making with legal or significant personal impact

  • No emotional, psychological, or behavioral manipulation

  • Continuous human oversight

You acknowledge that AI-generated outputs:

  • Are informational and structural in nature

  • Do not replace human judgment or professional advice

4.2 Users remain solely responsible for how they interpret or apply any reflective output provided through the Services.

4.3 The Services are provided for informational and reflective purposes only and shall not be relied upon as professional, legal, medical, financial, or psychological advice.

5. Intellectual Property

5.1 All content, software, frameworks, systems, trademarks, designs, logos, text, and methodologies are the exclusive intellectual property of K&G Growth Solutions, unless stated otherwise.

This includes but is not limited to:

  • MindLayer.AI

  • CargoChain.AI

  • CustodyVault.AI

  • ApexControl.AI

  • MindLayer.AI S6 Structural Model™

5.2 You may not copy, reproduce, distribute, sublicense, sell, or exploit any part of the Services without prior written consent.

Unauthorized use constitutes a violation of intellectual property law.

6. Privacy & Data Protection

Your use of the Services is subject to our Privacy Policy, which forms an integral part of these Terms.

We process data lawfully, transparently, and with sovereignty-by-design principles.
We do not sell or exploit personal data.

7. Payments & Subscriptions

7.1 Certain Services may be offered on a paid or subscription basis.

7.2 Fees are disclosed prior to purchase and billed in advance unless stated otherwise.

7.3 Payments are processed via trusted third-party payment providers.
We do not store sensitive payment data.

7.4 Fees are non-refundable, except where mandatory law requires otherwise.

7.5 Delivery of digital Services is initiated automatically after successful payment and may take up to a reasonable processing period. Delivery times are indicative and not guaranteed.

7.6 Certain Services constitute digital content delivered electronically. By completing a purchase, you expressly consent to immediate delivery and acknowledge that the statutory right of withdrawal may no longer apply once delivery has begun.

8. Availability & Modifications

We are not liable for modifications made in good faith.

9. Limitation of Liability

To the maximum extent permitted by law:

9.1 K&G Growth Solutions shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of data, profit, reputation, or opportunity

  • Decisions made based on AI-generated outputs

9.2 Our total liability shall never exceed the amount paid by you for the Services in the preceding 12 months.

9.3 In no event shall K&G Growth Solutions be liable for indirect, incidental, consequential, or special damages, including loss of profit, opportunity, or data.

10. Indemnification

You agree to indemnify and hold harmless K&G Growth Solutions from any claims, damages, or liabilities arising from:

  • Your misuse of the Services

  • Violation of these Terms

  • Unlawful or unauthorized activities conducted through your account

11. Termination

11.1 We may terminate or suspend access immediately if these Terms are breached.

11.2 Upon termination:

  • Your right to access the Services ceases

  • Provisions relating to intellectual property, liability, and governing law remain in effect

12. Governing Law & Jurisdiction

These Terms are governed by the laws of The Netherlands, and where applicable, European Union law.

Any disputes shall be submitted exclusively to the competent courts of Amsterdam, The Netherlands.

13. Changes to These Terms

We may update these Terms periodically.
Continued use of the Services after changes constitutes acceptance of the revised Terms.
